SEC Crypto: What do the Coinbase and MARA Binary Options Mean?

In SEC crypto news, the commission has reportedly approved standardized binary options that pay a predetermined cash amount if a specified company performance condition is met, including conditions tied to Coinbase trading volume and MARA Bitcoin production.

The move extends regulated exposure to crypto-market activity without requiring direct token ownership, but it does not settle the wider SEC-CFTC boundary or authorize every product built around the same data.

The reported approval arrives as the Clarity Act remains stalled in the Senate, leaving crypto regulation to advance through existing agency authority and product-specific decisions. Related financial instruments can offer exposure without holding tokens, as seen in ETF financing and total-return swaps, but the legal structure determines which rules apply.

What Does the SEC Approval of the Binary Options Mean for the Securities-Exchange Route?

In an October 13 statement, SEC Chairman Paul Atkins said the Commission had approved a securities-exchange rule change covering standardized options linked to key performance indicators reported by public companies. The contracts are European-style, exercisable only at expiration, and settle in cash; their payout depends on whether a specified metric satisfies the condition set out in the contract.

The approved products are classified as National Market System securities and would trade under existing standardized-options rules. Those rules cover customer accounts and margin, trading halts and auctions, order handling, and market-maker appointments and quoting obligations.

That framework matters because the decision is not a general authorization for binary wagers on corporate results. Atkins said the order applies to the specified exchange-traded contracts; differently structured products remain outside its scope, including contracts that may fall under CFTC authority.

The distinction fits a broader pattern in which crypto-linked products are assessed under existing securities rules rather than a comprehensive new statute. The SEC’s handling of a proposed Lido-related ETF likewise illustrates how product design and securities-law treatment can shape what issuers can bring forward.

Coinbase-linked indicators include trading volume, transaction revenue, total revenue, subscription and services revenue, and diluted net income per share. A contract would turn on whether the company’s reported figure meets the specified condition for a reporting period, not on whether COIN shares or Bitcoin rise or fall.

For MARA, the covered measure is Bitcoin production, tying the contract to mining output rather than BTC’s market price. The contract also includes Robinhood customer activity and revenue measures, extending the product concept beyond crypto-native businesses.

The difference between company data and asset prices is substantive. A Coinbase volume contract could resolve in one direction even if the broader crypto market moves the other way, while a MARA production measure reflects operational performance rather than the value of its Bitcoin holdings.

Recent company results show the kind of reported data that could serve as a reference, but they do not establish contract thresholds. Coinbase reported second-quarter 2026 revenue of $1.22Bn, down 18.5% year over year, and a net loss of $359.5M; MARA produced 2,422 BTC, up 3% from the prior year.

Clarity Act Delay Leaves Jurisdictional Questions Open

In other SEC crypto news, the SEC’s action does not resolve how the same corporate data should be treated when embedded in a different legal structure. Atkins said CFTC oversight of differently structured products remains intact, preserving a boundary that may depend on whether a contract is built as a securities option or another type of derivative.

The agencies have been examining that boundary: a June SEC-CFTC consultation sought feedback on swaps, security-based swaps and related derivatives. The CFTC also submitted two prediction-market rules for White House review on September 28, according to the primary-source account.

If the specified exchange products proceed under the approved rules, traders could gain exposure to reported corporate performance without directly holding crypto assets. That is not equivalent to spot exposure: payouts depend on a defined company metric, and the contract’s terms, liquidity, and market pricing will shape trading risk.

If the Clarity Act remains stalled, agencies will continue to shape crypto-market rules through existing authority, consultations, rulemaking and product-specific approvals rather than a new statutory framework. The reported approval establishes a narrow securities-exchange route; it leaves the treatment of other KPI contracts and the broader SEC-CFTC division unresolved.
